OVERVIEW

Welcome to St. Nix Collectibles, Toys & Antiques.

Throughout these Terms of Service, “St. Nix,” “we,” “us,” and “our” refer to St. Nix Collectibles, Toys & Antiques. “Website,” “store,” and “services” refer to www.stnixstore.com and the products, information, features, customer support, and services we make available through it.

Our online store is hosted and powered by Shopify, which provides the e-commerce platform that allows us to offer products and services to you.

These Terms of Service govern your access to and use of our website and your purchase of products from us. By visiting our website, creating an account, submitting an order, or otherwise using our services, you agree to these Terms of Service and the policies incorporated into them.

Please read these terms carefully before using our website.

OUR STORE AND OUR PRODUCTS

St. Nix is a small family-owned collectibles, toys, and antiques business. We sell a mixture of new, used, vintage, discontinued, collectible, and previously owned merchandise.

Because much of our inventory consists of vintage or collectible merchandise, some products may be decades old. Age, packaging wear, manufacturer changes, storage history, and normal production variations are part of purchasing older collectibles.

Unless a listing expressly states otherwise, St. Nix is an independent reseller and is not affiliated with, sponsored by, or endorsed by the manufacturers, studios, characters, brands, or trademark owners represented by the products we sell.

OTHER STORE POLICIES

Our Privacy Policy, Refund Policy, and Shipping Policy are incorporated into these Terms of Service.

If a product listing contains terms that apply specifically to that product, those product-specific terms are also part of your agreement with us.

If these Terms conflict with a product-specific disclosure, the product-specific disclosure controls for that product. If these Terms conflict with our Refund Policy regarding an eligible return or refund, the Refund Policy controls.

ELIGIBILITY

You must be at least the age of majority in your state, province, or country to place an order.

If you are under the age of majority, you may use our website only with the involvement and permission of a parent or legal guardian.

Although we sell toys and products that may be intended for children, our products are offered for purchase by adults.

ACCOUNT RESPONSIBILITY

You may be able to create a customer account through our website.

You are responsible for:

• Providing accurate and current account information;
• Maintaining the confidentiality of your password and login credentials;
• Restricting access to your account and devices;
• Keeping your payment and contact information current; and
• All activity conducted through your account.

You may not create or use multiple accounts to avoid purchase limits, return restrictions, account restrictions, promotional limits, or other store policies.

ORDERS AND ORDER ACCEPTANCE

Submitting an order is an offer to purchase the products listed in the order, subject to these Terms and our other store policies.

An automated order confirmation means that we received your order. It does not guarantee final acceptance or shipment.

A sale is accepted when we ship the order or otherwise expressly confirm acceptance. Before shipment, we reserve the right to review, limit, refuse, or cancel an order.

We may cancel or limit an order for reasons including:

• A pricing, listing, inventory, or product-information error;
• An item being unavailable, damaged, misplaced, or discovered to be unsuitable for sale;
• A payment authorization or verification problem;
• Suspected fraud or unauthorized payment activity;
• An incorrect, incomplete, or undeliverable address;
• Shipping restrictions or carrier limitations;
• Product dimensions or weight that prevent shipment using the selected service;
• Quantity or purchase limits;
• A manufacturer or supplier cancellation;
• A legal, regulatory, sanctions, or import restriction;
• Violation of these Terms or another store policy; or
• Activity that appears abusive, fraudulent, automated, or intended to circumvent our policies.

If we cancel an order after collecting payment, we will refund the applicable amount to the original payment method. The timing for funds to appear is controlled by the customer’s bank or payment provider.

PRODUCT AVAILABILITY

Inventory is limited, and many of our vintage or collectible products are one of a kind.

An item appearing on our website does not guarantee that it remains available. Inventory errors, simultaneous purchases, misplaced merchandise, damage discovered during fulfillment, and other availability issues may occasionally occur.

We reserve the right to discontinue products, impose quantity limits, or cancel an unavailable item or order.

PRODUCT DESCRIPTIONS

We work hard to describe and photograph products accurately. However, we do not guarantee that every description, measurement, image, color, manufacturer detail, release date, compatibility statement, packaging detail, or other listing element will be completely accurate, current, or error-free.

Product colors and appearance may vary because of lighting, photography, display settings, manufacturing differences, or age.

Stock photographs or manufacturer images may occasionally be used. When the listing indicates that photographs show the actual item, those photographs form an important part of the condition description.

Minor listing errors that do not materially change the identity or overall condition of the product may not qualify the item as defective.

VINTAGE, USED, AND COLLECTIBLE ITEMS

Vintage, antique, used, and previously owned products are sold as collectibles in their existing condition unless the listing expressly states otherwise.

These products may display age-related characteristics, including:

• Packaging wear;
• Creases, dents, scuffs, scratches, discoloration, fading, or yellowing;
• Price stickers, sticker residue, writing, or shelf wear;
• Dust, minor odors, or signs of previous storage;
• Loose joints, weakened rubber bands, aged adhesives, or brittle plastic;
• Paint wear, paint variation, or manufacturing imperfections;
• Missing inserts, paperwork, accessories, or packaging components when disclosed;
• Battery corrosion or damage when disclosed;
• Deterioration of electronic, mechanical, adhesive, or rubber components; and
• Other reasonable signs of age or previous ownership.

We make reasonable efforts to disclose significant condition issues that we observe. However, vintage products are not guaranteed to be flawless, mint, factory fresh, or comparable to a newly manufactured item unless the listing expressly makes that guarantee.

SEALED VINTAGE PRODUCTS

Original factory seals and unopened packaging do not guarantee that an older product’s internal contents remain functional, complete, undamaged, or in mint condition.

Age can affect batteries, electronics, rubber bands, adhesives, plastics, paint, lubricants, fabrics, and other internal components even when packaging remains sealed.

If a customer chooses to open a sealed vintage or collectible product, the item becomes ineligible for return unless applicable law requires otherwise.

St. Nix is not responsible for deterioration or failure that could not reasonably be identified without opening a sealed collectible.

PACKAGING CONDITION

Collectible packaging can be important to collectors, and we try to identify noticeable packaging damage when possible.

Unless a product listing expressly guarantees a particular packaging grade or Collector’s Grade condition, packaging is not guaranteed to be mint or free from minor shelf wear, rubbing, scuffs, small dents, scratches, creases, sticker residue, or other ordinary imperfections.

Damage or wear visible in photographs or disclosed in the listing is part of the item’s advertised condition.

MINOR MANUFACTURING VARIATIONS

Minor paint imperfections, color variations, molding marks, factory placement differences, packaging alignment differences, and similar production variations do not ordinarily make a product defective.

Manufacturers may alter colors, accessories, packaging, product features, or specifications without notice. Product images supplied by a manufacturer may differ slightly from the final product.

PRICING ERRORS

We try to ensure that product prices are correct. However, typographical, technical, supplier, currency, inventory, and data-entry errors may occur.

If a product is listed at an incorrect price or with materially incorrect information, we may refuse or cancel an affected order before shipment.

If payment has already been collected for a canceled item, we will refund the applicable amount.

A pricing error does not obligate us to sell a product at the incorrect price.

CURRENCY, TAXES, AND PAYMENT FEES

Unless another currency is shown at checkout, prices are listed in United States dollars.

Applicable sales taxes, duties, fees, and other charges may be calculated and collected as required by law.

Your bank, card issuer, or payment provider may charge currency-conversion fees, foreign-transaction fees, overdraft fees, or other charges. St. Nix does not control and is not responsible for those charges.

PAYMENT AUTHORIZATION

Orders must be submitted using a valid and authorized payment method.

Payment processors may place temporary authorization holds or conduct verification checks. A temporary authorization is not necessarily a completed charge, and the length of an authorization hold is determined by the payment provider.

We may request reasonable verification when necessary to prevent fraud or confirm that a transaction is authorized. We may cancel an order if we cannot verify the payment or customer information.

COUPONS, DISCOUNTS, AND PROMOTIONS

Unless a promotion expressly states otherwise, coupons and discounts cannot be combined with:

• Other coupon codes;
• Automatic discounts;
• Store credit used as a promotional discount;
• Special negotiated prices;
• Other promotional offers; or
• Previously completed purchases.

Coupons and promotional offers:

• Have no cash value;
• Cannot be sold or transferred unless expressly allowed;
• Apply only during the stated promotional period;
• May exclude certain products, brands, categories, or shipping charges;
• May be limited to one use per customer or household;
• Cannot be applied retroactively; and
• May be canceled or corrected if issued or applied in error.

We may refuse or cancel promotional use that appears fraudulent, abusive, automated, or intended to circumvent the promotion’s rules.

STORE CREDIT

Store credit:

• Has no cash value;
• Cannot be redeemed for cash except where required by law;
• Is generally nontransferable;
• May be limited to the customer account for which it was issued; and
• Is subject to any additional terms communicated when it is issued.

PREORDERS

If we offer a preorder, the estimated release or arrival date is an estimate and is not guaranteed.

Manufacturers, distributors, carriers, customs agencies, and other parties outside our control may delay, alter, allocate, or cancel products.

Product design, packaging, accessories, specifications, release dates, and availability may change before release.

We may cancel and refund a preorder if the manufacturer or supplier cancels the product, materially changes the item, reduces our allocation, or prevents us from fulfilling the order.

Any special cancellation rules or deposits disclosed on a preorder listing will apply to that preorder, subject to applicable law.

SHIPPING

Customers are responsible for providing an accurate, complete, and deliverable shipping address.

Before submitting an order, review the recipient’s name, street address, apartment or unit number, city, state or province, postal code, country, telephone number, and email address.

St. Nix is not responsible for delays, failed deliveries, or additional costs caused by incorrect, incomplete, or outdated information supplied by the customer.

Shipping estimates are not guarantees. Delivery may be delayed by:

• Carrier operations;
• Weather or natural disasters;
• Customs processing;
• Government action;
• Labor disruptions;
• Holidays;
• Incorrect addresses;
• Regional service interruptions;
• Security inspections; or
• Other circumstances outside our reasonable control.

REFUSED AND UNDELIVERABLE SHIPMENTS

A refused shipment will be handled as a return under our Refund Policy.

If a shipment is returned because the customer supplied an incorrect or incomplete address, failed to accept delivery, refused the shipment, or did not collect it from the carrier, the customer is responsible for applicable return and reshipping costs.

We may require payment of those costs before reshipping the order.

INTERNATIONAL ORDERS

Customers placing international orders are responsible for ensuring that the products may lawfully be imported, possessed, and used in the destination country.

International orders may be subject to:

• Import duties;
• Customs charges;
• Taxes;
• Tariffs;
• Brokerage fees;
• Postal handling fees;
• Government inspections; and
• Other destination-country charges.

Unless expressly collected at checkout, these charges are the customer’s responsibility.

We do not control customs agencies and are not responsible for customs delays, inspections, seizures, confiscations, package opening, additional charges, or disposal of merchandise.

If customs or another governmental authority refuses, seizes, confiscates, destroys, or disposes of a shipment, no refund will be issued for the merchandise or shipping except where applicable law requires otherwise.

Products displayed on our website may not be available for delivery to every country. We may cancel and refund products that cannot legally or reasonably be shipped to the destination.

FREIGHT FORWARDERS AND RESHIPPING SERVICES

If you direct an order to a freight forwarder, package-forwarding company, export service, or other third-party reshipper, our delivery obligation is completed when the carrier records delivery to that service.

St. Nix is not responsible for loss, damage, missing contents, repackaging, customs problems, delays, or other issues occurring after delivery to the forwarding or reshipping service.

Unless required by law, merchandise delivered to a freight forwarder or package-forwarding service is not eligible for return.

RISK OF LOSS

To the extent permitted by applicable law, responsibility for loss or damage passes according to the shipping contract and carrier terms applicable to the order.

Nothing in this section limits any rights provided by applicable consumer-protection law or our obligations for a shipment that is lost or damaged before confirmed delivery.

RETURNS AND REFUNDS

All returns, replacements, exchanges, store credits, and refunds are governed by our Refund Policy.

St. Nix does not take possession of or responsibility for a returned item until it is physically received by us.

Customers are responsible for securely packaging returns and following the authorized return instructions.

We may deny, reduce, or delay a refund when a return:

• Was not authorized;
• Is sent after the return period;
• Is used, worn, opened, incomplete, or altered;
• Is damaged because of inadequate return packaging;
• Is missing parts, accessories, paperwork, or original packaging;
• Is ineligible under the Refund Policy; or
• Otherwise fails to comply with the return authorization.

At our discretion, we may issue a refund or replacement without requiring the item to be returned.

ORDER PROBLEMS AND PAYMENT DISPUTES

If you believe an order is incorrect, missing, damaged, unauthorized, or otherwise problematic, please contact us first so we have an opportunity to investigate and resolve the issue.

Filing a payment dispute or chargeback does not automatically cancel an order, return merchandise, or eliminate a valid payment obligation.

When a chargeback or payment dispute is filed, we may provide the payment processor with relevant order records, delivery confirmation, communications, policy acceptance, and other evidence.

We may suspend an account, cancel pending orders, or refuse future service while a payment dispute is being investigated or when we reasonably believe a dispute is fraudulent or abusive.

We reserve the right to recover valid unpaid amounts and reasonable collection costs to the extent permitted by law. Nothing in this section limits a customer’s lawful rights to dispute an unauthorized or incorrect charge.

PROHIBITED USES

You may not use our website or services to:

• Violate any law or regulation;
• Infringe intellectual-property or privacy rights;
• Submit false, misleading, or fraudulent information;
• Make purchases using an unauthorized payment method;
• Transmit malware, viruses, or harmful code;
• Interfere with website security or operation;
• Scrape, harvest, copy, or extract website data for commercial purposes;
• Use bots, scripts, or automated purchasing tools;
• Monitor inventory through unauthorized automated methods;
• Circumvent purchase, quantity, promotion, return, shipping, or account limits;
• Impersonate another person;
• Harass, threaten, abuse, or discriminate against our family, employees, contractors, customers, or service providers;
• Submit fraudulent returns, claims, chargebacks, or damage reports;
• Resell access to an account or promotion; or
• Use the website for any unlawful or unauthorized purpose.

We may limit or terminate access, cancel orders, restrict accounts, refuse service, or take other reasonable action when we believe these Terms have been violated.

RESELLERS AND PURCHASE LIMITS

Unless a listing or promotion states otherwise, products are offered for personal purchase and lawful resale.

We may impose quantity limits to provide fair access to limited or collectible products. Using multiple accounts, addresses, identities, payment methods, or automated systems to avoid a purchase limit is prohibited.

We may cancel quantities exceeding a stated limit.

ELECTRONIC COMMUNICATIONS

When you use our website, place an order, or communicate with us electronically, you consent to receive electronic communications relating to your transactions and use of our services.

These communications may include:

• Order confirmations;
• Payment notices;
• Shipping updates;
• Return or refund information;
• Account-security notices;
• Customer-service responses;
• Policy updates; and
• Other legally required notices.

You agree that electronic communications satisfy legal requirements that communications be provided in writing, to the extent permitted by law.

Marketing communications are governed by our Privacy Policy and may be unsubscribed from using the instructions in the message.

INTELLECTUAL PROPERTY

The St. Nix name, logos, original photographs, graphics, product descriptions, website design, written content, and other original materials are owned by or licensed to St. Nix and are protected by applicable intellectual-property laws.

St. Nix brand names and designs, whether registered or unregistered, may not be used in a way that suggests sponsorship, endorsement, affiliation, or approval without written permission.

Third-party characters, product names, company names, logos, and trademarks appearing on products or our website belong to their respective owners.

LIMITED WEBSITE LICENSE

We grant you a limited, nonexclusive, nontransferable, and revocable right to access and use our website for personal shopping and other lawful, noncommercial purposes.

Without our written permission, you may not:

• Reproduce or republish substantial portions of our website;
• Copy original product photographs or descriptions for commercial use;
• Resell or commercially exploit access to our website;
• Frame or mirror the website;
• Use our trademarks or branding in metadata or hidden text;
• Operate scraping, data-mining, or automated extraction tools;
• Create a derivative commercial database from our listings; or
• Use website content in a manner that falsely suggests affiliation with St. Nix.

This license ends automatically if you violate these Terms.

USER CONTENT

If you submit a review, photograph, comment, testimonial, suggestion, or other content to us or through our website, you confirm that:

• You own the content or have permission to submit it;
• The content is accurate to the best of your knowledge;
• The content does not violate another person’s rights;
• The content is not unlawful, threatening, defamatory, obscene, deceptive, or malicious; and
• The content does not contain malware or unauthorized advertising.

You grant St. Nix a nonexclusive, worldwide, royalty-free license to use, reproduce, display, format, and distribute the submitted content in connection with operating, promoting, and improving our store, unless prohibited by applicable law.

We may remove submitted content but are not obligated to monitor all content.

THIRD-PARTY SERVICES AND LINKS

Our website may contain links to or integrations with Shopify, payment providers, shipping carriers, social-media services, advertising services, or other third parties.

We do not control and are not responsible for a third party’s content, availability, security, products, services, policies, or practices.

Your use of a third-party website or service is subject to that third party’s terms and privacy policy.

PRIVACY

Our collection, use, retention, and disclosure of personal information are governed by our Privacy Policy.

By using our website, you acknowledge that information may be processed by Shopify and other service providers necessary to operate the store, process payments, prevent fraud, and fulfill orders.

ACCESSIBILITY

We want our website and services to be usable by as many customers as reasonably possible.

DISCLAIMER OF WARRANTIES

• WEBSITE DEFECTS WILL ALWAYS BE CORRECTED; OR
• THE WEBSITE OR ELECTRONIC COMMUNICATIONS WILL BE FREE FROM HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not allow certain warranty exclusions. Where those laws apply, these exclusions apply only to the extent legally permitted.

Nothing in these Terms excludes an express written warranty made by St. Nix or a right that cannot legally be waived.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, ST. NIX AND ITS OWNERS, FAMILY MEMBERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM:

• USE OF OR INABILITY TO USE THE WEBSITE;
• DELAYS OR INTERRUPTIONS;
• LOSS OF DATA;
• THIRD-PARTY SERVICES;
• PRODUCT AVAILABILITY;
• MANUFACTURER OR SUPPLIER ACTIONS;

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT THE CUSTOMER PAID TO ST. NIX FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold St. Nix and its owners, employees, contractors, and service providers harmless from third-party claims, liabilities, losses, and reasonable expenses arising from:

• Your unlawful use of the website;
• Your violation of these Terms;
• Your infringement of another person’s rights;
• Fraudulent information or content submitted by you; or
• Misuse of your customer account.

This section does not require a customer to indemnify St. Nix for St. Nix’s own unlawful conduct, negligence, or breach of these Terms where such an indemnification would be prohibited by law.

SUSPENSION, TERMINATION, AND REFUSAL OF SERVICE

We may limit, suspend, or terminate access to our website or customer accounts, cancel pending orders, restrict promotional privileges, or refuse future service when reasonably necessary because of:

• A violation of these Terms;
• Fraud or suspected fraud;
• Payment or chargeback abuse;
• Return-policy abuse;
• Automated purchasing or scraping;
• Attempts to circumvent store limits;
• False account or order information;
• Threatening, abusive, or harassing conduct;
• Security concerns; or
• Conduct that may harm St. Nix, our customers, or our service providers.

Termination does not eliminate obligations or payment amounts that arose before termination.

You may request closure of your customer account by contacting us. We may retain information as described in our Privacy Policy and as required for transactions, fraud prevention, taxes, accounting, disputes, or legal compliance.

FORCE MAJEURE

St. Nix is not responsible for a delay or failure caused by circumstances outside our reasonable control, including:

• Natural disasters;
• Severe weather;
• Fire or flood;
• War or terrorism;
• Pandemic or public-health emergency;
• Government action;
• Customs action;
• Labor disputes;
• Carrier interruptions;
• Power or internet outages;
• Supplier or manufacturer failures; or
• Failures of Shopify or other necessary third-party services.

CHANGES TO OUR SERVICES

We may modify, suspend, discontinue, or limit any portion of our website, product offerings, promotions, or services at any time.

We are not obligated to continue offering any particular product, feature, promotion, shipping method, or service.

CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes in our store, policies, services, technology, or legal obligations.

When changes are made, we will update the “Last updated” date at the beginning of these Terms.

Changes apply prospectively when posted unless a different effective date is stated or applicable law requires additional notice.

Continued use of our website after updated Terms take effect constitutes acceptance of the updated Terms.

DISPUTE RESOLUTION

We want the opportunity to resolve problems fairly and directly.

• Order number, if applicable;
• A description of the issue;
• The resolution you are requesting; and
• Relevant photographs, tracking information, or documentation.

We will make a reasonable effort to review and respond to the concern.

Nothing in this section prevents either party from pursuing a remedy that cannot legally be waived or from seeking emergency relief when reasonably necessary to protect legal or intellectual-property rights.

GOVERNING LAW

To the extent permitted by law, these Terms and disputes relating to them are governed by applicable United States federal law and the laws of the State of Arkansas, without regard to conflict-of-law principles.

Any court proceeding that is not subject to another legally required location shall be brought in a court of competent jurisdiction in Arkansas.

Consumer-protection rights that cannot lawfully be waived remain unaffected.

SEVERABILITY

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or severed from the Terms.

The remaining provisions will continue in effect.

NO WAIVER

Our failure to enforce a provision on one occasion does not waive our right to enforce that provision later.

A waiver is effective only when expressly made in writing by an authorized representative of St. Nix.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, applicable product disclosures, and any other policy expressly incorporated by reference, form the complete agreement between you and St. Nix concerning your use of the website and purchase of products.
